Production Tools - Terms of service

Production Tools refers to the services ("Service") provided by Production Tools, UAB (company code 306215201, VAT number LT100015651310, registered office at Jono Basanavičiaus g. 26, Vilnius 03224, Lithuania) subject to these terms and conditions ("Terms of Service") set forth below. Please read the following carefully.

Production Tools reserves the right to update and modify the Terms of Service at any time without notice. New features that may be added to the Service shall be subject to the Terms of Service. Should you continue to use the Service after any such modifications have been made, this shall constitute your agreement to such modifications.

Violation of any part of the Terms of Service may result in suspension or termination of your account in accordance with Section 4.

1. Account Terms

1.1. You must be 18 years or older to use this Service.

1.2. You must provide your full legal name, a valid email address, and any other required information to complete the sign-up process.

1.3. You are responsible for maintaining the privacy and security of your account. Production Tools will not be held liable for any damage or loss that may result from your failure to protect your login information, including your password.

1.4. One person may not maintain more than one free account.

1.5. The Service is intended for business and professional use. By creating an account, you confirm that you are acting for purposes relating to your trade, business or profession, and not as a consumer.

1.6. By creating an account or starting a free trial, you agree that we may contact you by email or phone about your account and your use of the Service, including onboarding assistance, feedback requests, special offers and help with any issues you may encounter. You can opt out of promotional communications at any time by contacting us at support@production.tools or by using the unsubscribe link in our emails.

2. Payment and Access

2.1. A valid credit card is required for paying accounts. A credit card is not required to create or use a free account.

2.2. Card payments are processed by Braintree, a PayPal service. Production Tools does not store your full card number.

2.3. After you sign up for a paying account and pay the monthly fee, it is non-refundable. No exceptions will be made.

2.4. We will charge you a standard monthly / yearly fee based on your account type. The Service is billed in advance for each month / year. There will be no refunds, no exceptions will be made.

2.5. Should you upgrade or downgrade your account type, your credit card will be charged your new billing rate immediately and the new account type will start. The fee you have paid previously will not be added to the new one. Your credit card will then be charged your new billing rate every 30 days or every year the same date (if you chose to pay yearly) thereafter unless you cancel your account.

2.6. All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.

3. Modifications to the Service and Fees

3.1. Production Tools reserves the right to modify, suspend, or discontinue the Service at any time for any reason with or without notice.

4. Cancellation and Termination

4.1. You alone are responsible for the proper cancellation of your account. You may cancel your account at any time by clicking on the Account > Cancel this account. Upon cancellation, your account is closed and your Content is removed from the live system. Copies of your Content may remain in automatic backups for a limited period (uploaded images for up to 30 days, other data for up to 6 months), after which they expire and cannot be recovered. Account and billing information that we hold as a data controller (for example, invoices) is retained separately, as described in the Privacy Policy.

4.2. You can cancel at any time, but you will remain liable for all charges accrued up to that time, including full monthly / yearly charges which you discontinued service. You will not be charged again.

4.3. Production Tools may suspend or terminate your account and remove related Content if we reasonably believe that the account, or any Content, violates our Terms, applicable law, or the rights of others. Where practicable, we will give you notice; however, we may act without prior notice when immediate action is required to comply with legal obligations or protect the Service and its users. Production Tools does not suspend, terminate, or refuse service on the basis of personal characteristics or protected classes.

5. Copyright and Ownership

5.1. Production Tools or its suppliers own the intellectual property rights to any and all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements contained within the Service, many of the individual features, and the related documentation. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or disassemble any aspect of the Service which Production Tools or its suppliers own.

5.2. You own the Content you upload, and Production Tools claims no intellectual property rights over it. You grant Production Tools a limited, non-exclusive licence to host, store, process, display, transmit and export your Content solely as necessary to provide the Service to you and as directed by you through the Service. Content is made available to others only through the sharing features you choose to use (for example, shared folder links, registration forms and emails sent through the Service), under the settings you control. You are responsible for your Content, including its lawfulness and for having the necessary rights and permissions to collect, upload and share it.

6. Data Protection

6.1. To provide Services as indicated in these Terms of Service, we collect, use, store and otherwise process information about you as permitted by the laws of the Republic of Lithuania, the General Data Protection Regulation (EU) No 2016/679 and other applicable laws.

6.2. Production Tools collects, uses and otherwise processes information about you as described in Production Tools Privacy Policy. You must familiarize yourself with the Privacy Policy prior to concluding an agreement for the provision of Services. By concluding an agreement for the provision of Services you acknowledge that you have familiarized yourself with and understood the Privacy Policy.

6.3. Production Tools implements appropriate technical and organizational measures to protect personal data against accidental or unlawful destruction or accidental loss, alteration, unauthorized disclosure or access, and against all other unlawful forms of processing.

6.4. You are obliged to inform Production Tools in writing immediately in case any information that Production Tools holds about you is inaccurate or not up to date or you believe that any of the information about you is collected, used and stored by Production Tools in a manner not compliant with applicable laws.

6.5. By concluding an agreement for the provision of Services you or an entity you represent, as a data controller, authorize Production Tools, as a data processor, to process personal data controlled by you and provided to Production Tools on your behalf and pursuant to your instructions for the sole purpose of providing you with Services. The data will be processed according to the Data Processing Agreement, which sets out the parties’ obligations under Article 28 of the GDPR. By concluding an agreement for the provision of Services, you accept Data Processing Agreement as well.

7. General Conditions

7.1. Your use of the Service, including any content, information or functionality contained within it, is provided "as is" and "as available" with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.

7.2. You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Production Tools.

7.3. Your Content is transmitted over encrypted connections (TLS) and is stored on Microsoft Azure infrastructure, which encrypts data at rest by default.

7.4. You may not use the service to transmit any viruses, worms, or malicious content.

7.5. Production Tools makes no warranties regarding your ability to use the Service, your satisfaction with the Service, that the Service will be available at all times, uninterrupted, and error-free, the accuracy of mathematical calculations performed by the Service, and that bugs or errors in the Service will be corrected.

7.6. To the maximum extent permitted by law, Production Tools and its affiliates are not liable for indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profit or business, arising out of or relating to your use of the Service. The total aggregate liability of Production Tools arising out of or relating to the Service is limited to the fees you paid for the Service during the 12 months preceding the event giving rise to the claim. Nothing in the Terms of Service excludes or limits liability for damage caused intentionally or through gross negligence, or any other liability that cannot be excluded or limited under applicable law.

7.7. If any provision of the Terms of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.

7.8. The failure of Production Tools to exercise any right provided for herein shall not be deemed a waiver of any right hereunder. The Terms of Service sets forth the entire understanding between you and Production Tools as to the Service and supersedes any prior agreements between you and Production Tools (including, but not limited to, prior versions of the Terms of Service).

7.9. The Terms of Service are governed by the laws of the Republic of Lithuania. Any disputes arising out of or in connection with the Terms of Service that cannot be resolved amicably shall be settled by the competent courts of Vilnius, Lithuania. If you nevertheless use the Service as a consumer, nothing in the Terms of Service deprives you of the protection of mandatory provisions of the law of your country of residence or of your right to bring proceedings in its courts.
